Autoflows offers a 60 days money-back guarantee period, where this agreement can be terminated without notice. The money-back guarantee period begins in connection with access to data from DMS provider. ag analytics will inform the customer about the beginning of the money-back guarantee period. Existing customers who renews or updates their existing agreement are not offered a new 60 days money-back guarantee period.
License will be billed in connection with startup, based on the remaining months in the calendar year. Afterwards, license will be billed on January 1st for following years. The agreement is valid until terminated by either parties. Should the agreement be terminated within the money-back guarantee period, the payment will be refunded.
E-mail usage is included in the license. Text messages are billed in packages of 500 each with the following prices:
1-2 packages: 0.120 EUR per SMS
3-10 packages: 0.108 EUR per SMS
11-20 packages: 0.100 EUR per SMS
21-35 packages: 0.094 EUR per SMS
36-100 packages: 0.088 EUR per SMS
More than 100 packages: 0.080 EUR per SMS
Net 30 days from invoice date
License is valid for the calendar year. This agreement is valid until canceled by either party in writing. The agreement can be terminated within the money-back guaranteeperiod without any notice. Hereafter, the agreement can be terminated with 3 months written notice to the end of the calendar year.
ag analytics are permitted at any time to change the pricing for all Autoflows products. Price changes are to be communicated in writing at least 3 months before the end of the calendar year. The announced price changes will take effect the following calendar year.
In the event of a material default by a party of the obligations under this agreement, the other party may choose to terminate the agreement without further notice. Material default is considered as the following, which are not exhaustive:
• Failure to pay, after 2nd written notice
• System breakdown lasting more than 2 weeks, where the customer cannot use Autoflows in accordance with this agreement
The termination must be sent in writing to the other party. Should the agreement be terminated due to material default, ag analytics is obligated to pay back the license for the remaining months in the calendar year from the date of receiving the termination in writing.
A separate data processing agreement is to be signed in connection with this agreement. The data processing agreement will be signed by both parties.
The agreement is subject to Danish law. Any dispute that may arise in connection with this agreement, including disputes concerning the existence or validity of the agreement, shall be settled in the courts. The parties are obliged to seek to resolve the dispute amicably in the first instance. Venue is the court in Copenhagen.
